Important Information Ahead

1. Acceptance & eligibility

By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services. • “User Content” — Content you submit, post, or transmit.
• “Brokerage Data” — financial/account data accessed when you connect a brokerage (see Section 8).

3. The Services & license

Traderverse is a social trading network that lets you discover and analyze markets, build a profile and verified track record, follow and message other users, make and track predictions, and connect brokerage accounts to view your portfolio. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Services. We may modify, suspend, or discontinue any part of the Services at any time.

4. Accounts & security

You must provide accurate information and keep it current. You are responsible for safeguarding your credentials and for all activity under your Account. Notify us promptly of any unauthorized use at support@traderverse.io. We may suspend or terminate Accounts that violate these Terms or pose a security or legal risk.

5. Subscriptions, fees & billing

Some Services require a paid subscription. By subscribing, you agree to pay all applicable fees as described at the time of purchase. [[Describe plans, prices, and billing frequency, or link to a pricing page.]]

Auto-renewal & cancellation

Refunds

6. Your content & conduct

You retain ownership of your User Content. You grant Traderverse a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, adapt, and distribute your User Content as needed to operate, promote, and improve the Services. You represent that you have the rights to your User Content and that it does not violate law or these Terms. You release Traderverse and its agents and employees from any claims that our authorized use of your User Content infringes your rights, and you understand that you are not entitled to any additional compensation for such use.

Content standards

You agree not to post Content that is unlawful, fraudulent, misleading, defamatory, infringing, harassing, hateful, or that constitutes investment advice you are not licensed to give, market manipulation, pump-and-dump promotion, or spam. We may, but are not obligated to, monitor, moderate, or remove Content and may act on violations at our discretion.

7. No financial advice; acknowledgment of risk

All Content — including posts, predictions, leaderboards, analytics, AI outputs, and other users’ track records — is for informational and educational purposes only and is not a recommendation, solicitation, or offer to buy or sell any security, crypto-asset, or other financial instrument. Past performance (including verified performance) does not guarantee future results. You are solely responsible for your own decisions and should consult a licensed professional. Trading and investing involve substantial risk, including the possible loss of your entire investment. See our Risk Disclosure.

Not an offering

Nothing on the Services constitutes an offer to sell, or a solicitation of an offer to buy, any security, asset (including digital assets or tokens), or financial instrument, or to enter into any transaction involving them. Any such offer may be made only through a registered or licensed offering, or under an applicable exemption.

Forward-looking statements

The Services may contain “forward-looking statements” (identified by words such as “plan,” “anticipate,” “believe,” “estimate,” “expect,” “will,” and similar expressions) about our future operations, strategy, and objectives. These involve known and unknown risks and uncertainties, and actual results may differ materially. We undertake no obligation to update forward-looking statements except as required by law.

8. Brokerage connections & third-party services

The Services let you connect third-party brokerage accounts through brokerage-connectivity providers [[name, e.g., the Traderware connectivity layer and/or third parties]]. By connecting an account, you authorize us and those providers to access Brokerage Data to provide portfolio and performance features, and you agree to the relevant third party’s terms. We are not responsible for third-party brokerages, platforms (including our NinjaTrader partnership), exchanges, or their acts, omissions, data accuracy, or availability. Your relationship with any broker or financial institution is solely between you and that party.

The Services may contain links to third-party websites, content, and services that we do not own or control. We provide these for convenience only and are not responsible for their content, accuracy, privacy practices, or availability. Accessing them is at your own risk and subject to their terms.

9. Verified performance, predictions & leaderboards

“Verified” performance reflects data retrieved from connected sources and may contain errors, delays, or gaps; we do not guarantee its accuracy or completeness and it is not audited unless expressly stated. Prediction accuracy, scores, badges, and leaderboard rankings are platform features, not endorsements, and must not be relied upon as advice. You must not manipulate, falsify, or game these features.

10. AI features

The Services include AI-powered features (e.g., insights, summaries, search, and recommendations). AI outputs may be inaccurate, incomplete, or out of date, are generated automatically, and are not financial advice. You are responsible for independently verifying any information before relying on it. See the Privacy Policy for how automated processing and profiling work.

11. Intellectual property & feedback

The Services, including software, design, trademarks, and all non-user Content, are owned by Traderware, Inc. or its licensors and protected by law. Except for your User Content and the license we grant you, no rights are transferred. If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without obligation to you.

12. Prohibited uses

You agree not to: violate any law or third-party right; provide unlicensed investment advice or engage in market manipulation, insider trading, or fraudulent/deceptive schemes; impersonate others or misrepresent affiliation; access the Services for a competing product; scrape, crawl, or harvest data except as expressly permitted; reverse-engineer or circumvent security; introduce malware; interfere with or overload the Services (including DoS/DDoS); or use the Services where prohibited or in an embargoed/sanctioned jurisdiction.

13. Disclaimer of warranties

The Services and all Content are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, title, non-infringement, and any warranty regarding accuracy, reliability, or availability. We do not warrant that the Services will be uninterrupted, error-free, or secure. Some jurisdictions do not allow certain disclaimers, so some may not apply to you.

14. Limitation of liability

To the maximum extent permitted by law, Traderverse and its officers, directors, employees, affiliates (including Traderware, Inc.), and agents will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, data, goodwill, or trading/investment losses, arising from or related to the Services. Our total aggregate liability for all claims will not exceed the greater of [[the amount you paid us in the 12 months before the claim]] or [[US$100]]. Some jurisdictions do not allow certain limitations, so some may not apply to you.

15. Indemnification

You agree to indemnify and hold harmless Traderverse and its affiliates from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Services, your User Content, your violation of these Terms or law, or your trading/investment activity.

16. Termination

You may stop using the Services and close your Account at any time. We may suspend or terminate your access at any time, with or without notice, for any violation of these Terms or to protect the Services or other users. Sections that by their nature should survive termination (including Sections 6, 7, 11, 13–15, 17, and 18) will survive.

17. Dispute resolution & arbitration

Please read this section carefully — it affects your legal rights.

Informal resolution first

Before filing a claim, you agree to try to resolve the dispute informally by contacting support@traderverse.io and allowing [[30–60]] days of good-faith negotiation.

Binding arbitration

If not resolved, any dispute will be finally settled by binding arbitration administered under the International Arbitration Rules of the International Centre for Dispute Resolution (ICDR). The seat/place of arbitration shall be Delaware, and the language shall be English. The arbitrator(s) should have experience with internet technology, software, financial services, and ideally blockchain.

Class-action waiver

Disputes will be resolved only on an individual basis. You and Traderverse waive any right to bring or participate in a class, collective, or representative action.

Opt-out

You may opt out of this arbitration agreement within [[30]] days of first accepting these Terms by sending written notice (including your name, account email, and a clear statement that you opt out) to legal@traderverse.io [[confirm address]]. 18. Governing law & venue

19. Apple App Store & Google Play terms

If you download our app from the Apple App Store or Google Play, these Terms are between you and Traderware, Inc. only, not the store. The store is not responsible for the app or its support, and the stores’ terms also apply. For iOS, Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them; the license is limited to the usage rules in Apple’s Media Services terms; and you represent you are not in a US-embargoed country or on a prohibited-parties list. 20. Changes to these Terms

We may update these Terms from time to time. We will post the updated version with a new “Last updated” date and, for material changes, provide additional notice where required. Continued use after the effective date constitutes acceptance.

21. Miscellaneous

These Terms (with the Privacy Policy and any posted policies) are the entire agreement between you and us. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them to an affiliate or successor. We are not liable for delays or failures caused by events beyond our reasonable control (force majeure). Nothing here creates a partnership, agency, or employment relationship.
